1. Definitions
In these Terms & Conditions:
→ “Company” refers to ComfySeal Ltd
→ “Client” refers to any commercial, corporate, public-sector, or trade customer
→ “Works” refers to services provided by ComfySeal Ltd
→ “Contract” refers to any agreement formed between the Company and the Client
2. Scope of Services
ComfySeal Ltd provides insulation, spray foam removal, retrofit-related works, loft boarding, and associated services for domestic, commercial, and public-sector properties.
All works are subject to site conditions, access, health & safety requirements, and regulatory compliance.
3. Formation of Contract
A contract is formed when:
→ A written quotation is accepted by the Client, or
→ A purchase order is issued and accepted, or
→ Works commence following written instruction
Verbal instructions must be confirmed in writing.
4. Quotations & Pricing
→ Quotations are valid for 30 days unless stated otherwise
→ Prices are exclusive of VAT unless specified
→ Quotations are based on information available at the time
→ Variations due to unforeseen site conditions will be priced separately
5. Surveys & Site Information
→ Site surveys may be desktop-based or physical
→ The Client is responsible for providing accurate site information
→ ComfySeal Ltd accepts no liability for inaccuracies in Client-supplied data
→ Additional costs arising from incorrect or incomplete information will be chargeable.
6. Programme & Access
→ Programme dates are indicative unless expressly agreed
→ The Client shall ensure uninterrupted access to the site
→ Delays caused by access issues or third parties may result in additional costs
7. Health, Safety & Compliance
→ Works are carried out in accordance with applicable UK legislation
→ ComfySeal Ltd reserves the right to suspend works if conditions are unsafe
→ The Client shall ensure the site is compliant and safe for works
8. Variations
Any variation to the agreed scope must be:
→ Instructed in writing
→ Priced and agreed before execution
ComfySeal Ltd shall not be obliged to carry out variations without written approval.
9. Payment Terms
Unless otherwise agreed in writing:
→ Invoices are payable within 14 days
→ Late payments may incur statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998
→ ComfySeal Ltd reserves the right to suspend works for non-payment
10. Retention
Retention shall only apply where expressly agreed in writing and shall not exceed industry-standard terms.
11. Materials & Title
→ Materials remain the property of ComfySeal Ltd until paid in full
→ Risk passes upon delivery or installation
12. Defects & Rectification
→ Any defects attributable to workmanship will be rectified within a reasonable timeframe
→ This does not include defects arising from design, specification, or pre-existing conditions
13. Limitations of Liability
→ Liability is limited to the value of the Contract
→ ComfySeal Ltd shall not be liable for indirect or consequential losses
Nothing in these Terms limits liability for death or personal injury caused by negligence.
14. Force Majeure
ComfySeal Ltd shall not be liable for delays or failure caused by events beyond reasonable control, including but not limited to weather, supply chain disruption, or labour shortages.
15. Insurance
ComfySeal Ltd maintains appropriate:
→ Public Liability Insurance
→ Employers’ Liability Insurance
→ Professional Indemnity Insurance (where applicable)
Certificates are available upon request.
16. Confidentiality
All commercial and technical information exchanged shall be treated as confidential unless disclosure is required by law.
17. Termination
Either party may terminate the Contract in writing where the other party commits a material breach and fails to remedy it within a reasonable period.
18. Data Protection
Personal and commercial data is processed in accordance with UK GDPR and ComfySeal Ltd’s Privacy Policy.
19. Governing Law & Jurisdiction
These Terms & Conditions are governed by the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction.
20. Entire Agreement
These Terms constitute the entire agreement between the parties and supersede all prior discussions or correspondence.
